Terms of Service
Effective October 6, 2026 ยท Last updated October 6, 2026
PLEASE READ CAREFULLY. SECTION 19 REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, NOT IN COURT, AND WAIVES YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 19. SECTIONS 15 THROUGH 18 LIMIT OUR LIABILITY.
1. Agreement to these Terms
These Terms of Service ("Terms") are a binding contract between you and Leadman Properties & Services LLC, an Indiana limited liability company doing business as Chainlink ("Chainlink," "we," "us," or "our"). They govern your use of:
- the Chainlink mobile application (the "App");
- the Chainlink venue platform (the "Venue Platform");
- our website at www.thechainlinkapp.com; and
- related services (together, the "Services").
You accept these Terms when you do any of the following: create an account, check a box or tap a button indicating acceptance, or access or use the Services. Our Privacy Policy is incorporated into these Terms. If you do not agree, do not use the Services.
A "Patron" is an individual using the App. A "Venue" is a bar, restaurant, nightclub or other business that uses the Venue Platform, together with every person who accesses the Venue Platform on its behalf. If you use the Services for a Venue, Section 11 (the "Venue Terms") also applies to you and to that Venue. In that case, "you" includes both you and the Venue.
Changes. We may change these Terms. We will post the updated Terms with a new "Last updated" date. For material changes, we will give notice in the App, on the website, or by email at least 14 days before they take effect, unless the change is required by law or addresses a safety or security issue. If you keep using the Services after changes take effect, you accept them. If you do not agree, you must stop using the Services and may delete your account. Changes to Section 19 will not apply to any dispute of which we had actual notice before the change.
2. Eligibility
You may use the App only if:
- you are at least 21 years old;
- you can form a binding contract;
- you are not barred from using the Services under applicable law; and
- we have not previously terminated your account.
You represent that the date of birth and other information you provide are true. Providing false age information is a material breach of these Terms. We may, but are not required to, verify age or identity, and we may suspend any account we reasonably believe belongs to someone under 21.
The Services are intended for use in the United States.
3. Accounts
You must provide accurate information and keep it current. You are responsible for all activity on your account, for keeping your credentials and device secure, and for notifying us promptly of any unauthorized use. One person may hold only one Patron account. You may not sell, transfer or share your account. We may reclaim or change usernames for any reason, including impersonation or trademark concerns.
4. Alcohol, nightlife and personal safety
Chainlink is a social and information platform. We do not sell, serve or provide alcohol, we do not operate any Venue, and we do not screen users or Venues. You are responsible for your own choices and safety.
- Drink responsibly and lawfully. Nothing in the Services encourages, or should be read as encouraging, excessive or unlawful drinking. Drink-tracking features, leaderboards, badges, rewards and similar features are entertainment and loyalty features only. They do not measure intoxication or blood alcohol content, and you must not rely on them to decide whether you are fit to drive or to do anything else. Never drink and drive. Arrange a sober driver, rideshare, taxi or public transit.
- Venues are independent. Venues are independent third parties, not our agents, employees or partners. We are not responsible for:
- any Venue's premises, staff, security, service of alcohol, food, pricing, cover charges, capacity, dress codes, admission decisions, events, deals, promotions or rewards;
- the accuracy of Venue information (including hours, events and deals); or
- any injury, loss or damage that occurs at or near a Venue.
- Meeting other people. The Services let you share plans, join outings and chains, and meet people, including people you do not know. We do not conduct criminal background checks, identity verification or screening of users, and we make no representations about any user's identity, age, intentions or conduct. You are solely responsible for your interactions with other users, online and in person.
- Meet in public places.
- Tell a friend your plans.
- Watch your drink.
- Leave any situation that feels unsafe.
- Location sharing. Features such as "heading to," check-ins and "Go public tonight" reveal where you are or will be. Share your location only with people you trust, and understand that others may act on that information.
- Not for emergencies. The Services are not an emergency service. In an emergency, call 911.
- Assumption of risk. To the fullest extent permitted by law, you voluntarily assume all risks arising from your use of the Services and your related activities. These include consuming alcohol, attending Venues, travelling to and from Venues, and meeting other users.
5. Privacy and data
Our Privacy Policy explains how we collect, use, disclose and sell personal information.
Disclosures to Venues. When you interact with a Venue through Chainlink, we disclose information about you and your activity at that Venue to the Venue, as described in the Privacy Policy. This information includes your name, photo, visits, drinks logged, rewards activity, Wall posts and purchases linked to you. Venues may pay us for features that include this information. You can opt out as described in the Privacy Policy.
Purchase matching. At Venues that connect a supported point-of-sale system (such as Square), scanning a drink QR code may link the payment card used for a nearby purchase to your account at that Venue. Later purchases with that card may then be attributed to you, awarding points and creating records the Venue can see. You can ask us to remove a card link at any time. You are responsible for making sure the card linked to you is yours.
Contacts. If you use contact matching, you confirm that you have the right to share your contacts' phone numbers with us for that purpose.
6. User Content
"User Content" means anything you post, upload, send or otherwise make available through the Services. Examples include photos, videos, Wall posts, moments, comments, messages, profile information, reviews and Venue listings. You keep ownership of your User Content.
License to us. You grant Chainlink a worldwide, non-exclusive, royalty-free, fully paid, transferable and sublicensable license to host, store, reproduce, modify (for example, to resize or format), adapt, publish, publicly display and perform, distribute and otherwise use your User Content, including your name, username and likeness as they appear in it. We may use it in any media now known or later developed, for these purposes:
- operating, providing, promoting and improving the Services; and
- displaying it to Venues and other users as the Services allow.
This license ends when you delete the User Content or your account, except:
- to the extent the content was shared with others who have not deleted it;
- for reasonable backup and archival periods; and
- as needed for legal compliance or enforcement.
Wall posts you make at a Venue may be displayed by that Venue on its Chainlink page and in its venue screens.
Your responsibility. You are solely responsible for your User Content. You represent and warrant that:
- you own it or have all rights needed to grant the license above;
- you have the consent of every identifiable person in it; and
- it does not violate any law or anyone's rights, including intellectual property, privacy and publicity rights.
We do not endorse User Content and are not responsible for it. Content posted by others may be offensive, inaccurate or harmful, and you view it at your own risk.
Feedback. If you send us ideas or suggestions, we may use them without restriction or compensation to you.
7. Prohibited conduct
You agree not to, and not to help anyone else to:
- use the Services if you are under 21, or help anyone under 21 obtain alcohol or use the Services;
- harass, threaten, stalk, bully, intimidate, dox or harm anyone, or use location or plan information to find or follow someone who does not want to be contacted;
- post content that is unlawful, defamatory, obscene, sexually explicit, hateful, discriminatory, violent or invasive of privacy, or that sexualizes or exploits minors in any way;
- post intimate images of anyone, or photos or videos of people who have not consented to being recorded or shared;
- promote drunk driving, drink-spiking, dangerous drinking games, illegal drugs or other illegal activity;
- impersonate any person, Venue or business, or misrepresent your identity, age or affiliation;
- falsify check-ins, location, drink scans, purchases or engagement. This includes using location spoofing, emulators, scripts or multiple accounts to earn points, badges, Cheers, rewards or leaderboard rank;
- send spam or unsolicited advertising, or use the Services for commercial solicitation except as a Venue under the Venue Terms;
- scrape, crawl, harvest, or systematically collect data or User Content, including other users' personal information;
- access data or areas of the Services you are not authorized to access, even if technically possible; probe, scan or test vulnerabilities; or circumvent security, rate limits or access controls;
- reverse engineer, decompile or disassemble the App, except to the extent the law expressly permits;
- interfere with or disrupt the Services, or introduce malware;
- sell, rent or transfer your account, Cheers, points or rewards;
- use the Services to build a competing product; or
- violate any law or these Terms.
8. Moderation and copyright
We, and Venues for their own Walls, may review, screen, approve, reject, remove or restrict any User Content at any time, for any reason, without notice. We are not obligated to do so, and we do not assume any obligation to monitor the Services. You can report users and content in the App. We may preserve content and disclose it to law enforcement or others as described in our Privacy Policy. We report apparent child sexual exploitation to the National Center for Missing & Exploited Children.
Copyright complaints. If you believe content on the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to our designated agent at info@thechainlinkapp.com or the address in Section 22. The notice must include:
- your physical or electronic signature;
- identification of the copyrighted work;
- identification of the infringing material and where it is located;
- your contact information;
- a statement of good-faith belief that the use is not authorized; and
- a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner.
We may terminate repeat infringers.
9. Cheers and in-app purchases
- License, not property. "Cheers" and any other virtual items are a limited, personal, non-transferable, revocable license to use those items within the App. They have no cash value, are not money, deposits or property, and cannot be redeemed for cash, sold or transferred outside the App's features, or exchanged for alcohol or other goods.
- Purchases. Cheers are bought through the Apple App Store or Google Play and are subject to their terms and refund policies. Except as required by law or by the app store's policies, all purchases are final and non-refundable.
- Changes. We may change, limit, expire or discontinue Cheers, their prices, how they are earned or spent, and any related features.
- Loss of Cheers. Unused Cheers are forfeited without compensation if your account is closed or terminated, unless the law requires otherwise.
- Errors and misuse. We may correct Cheers balances affected by errors, fraud or violations of these Terms.
10. Venue rewards, points and bounties
- Venues offer and fulfill rewards. Loyalty points, levels, badges, bounties, deals and rewards (for example, a free or discounted drink) are offered and fulfilled by Venues, not by Chainlink. The Venue alone is responsible for honoring a reward and decides whether to serve you. We do not guarantee that any reward will be available or honored.
- No cash value. Points, badges and rewards have no cash value, are not transferable, and may not be sold or exchanged.
- Changes. We or the Venue may change, void or end any of them at any time. This includes voiding points or rewards obtained through errors, fraud or violations of these Terms.
- Lawful service. Rewards involving alcohol are available only where lawful. The Venue may refuse service to anyone, including anyone who appears intoxicated or cannot show valid identification.
- Leaderboards and badges. These are for entertainment. They are not contests or prizes, and no purchase is necessary to earn them.
11. Venue Terms
This Section applies to anyone who registers, claims, manages or accesses a Venue account, and to the Venue they act for. If these Venue Terms conflict with the rest of these Terms, these Venue Terms control for Venues.
11.1 Authority and claims
You represent that:
- you are at least 18 (21 where required for your role);
- you are authorized to bind the Venue to these Terms; and
- the Venue holds every license and permit required to operate and serve alcohol.
You may claim only a Venue you own or are authorized to manage. We may require verification, including phone verification and documents, and may approve, reject, transfer or revoke any claim. Submitting a false claim or fraudulent documents is a material breach and may be unlawful. The Venue is responsible for everyone it gives access to its account.
11.2 Subscriptions and fees
Some Venue features require a paid subscription or add-ons at the prices shown at sign-up or in your order. Unless stated otherwise:
- Renewal. Subscriptions renew automatically for successive terms of the same length until cancelled.
- Billing. You authorize us and our payment processor to charge your payment method for all fees, add-ons and applicable taxes when due.
- Cancellation. Cancelling takes effect at the end of the current term.
- Refunds. Fees are non-refundable, except as required by law.
- Price changes. We may change prices with at least 30 days' notice. New prices apply from the next renewal.
- Non-payment. We may suspend paid features for non-payment.
- Taxes. You are responsible for all taxes other than taxes on our net income.
11.3 Venue content, promotions and compliance
The Venue is solely responsible for:
- its listings, events, deals, menus, prices, photos, rewards, bounties, notifications and other content, and for keeping them accurate;
- honoring every deal, reward and bounty it offers; and
- complying with all applicable laws, including:
- alcoholic beverage control laws, including state rules on drink promotions, free or discounted drinks, happy hours and inducements;
- laws on responsible service and dram shop liability;
- age verification and ID checks;
- advertising, consumer protection, sweepstakes and gift card laws;
- accessibility laws; and
- marketing and messaging laws.
The Venue must verify the age of every person it serves. It may not rely on Chainlink for age verification. The Venue may not offer rewards that require or encourage excessive drinking. The Venue is responsible for moderating its Wall, including any posts it approves, pins or auto-approves.
11.4 Patron Data
"Patron Data" means any information about Patrons that the Venue receives through the Services. This includes names, photos, profiles, visits, check-ins, drink logs, purchases, rewards activity, Wall posts and analytics. Chainlink makes Patron Data available to the Venue under the following conditions, and the Venue agrees to them:
- Limited purposes. The Venue may use Patron Data only to:
- operate its business and customer relationships;
- run its loyalty, rewards and promotions;
- moderate its Wall; and
- analyze its own business.
- Restrictions. The Venue may not:
- sell, rent, license or otherwise disclose Patron Data to any third party, except service providers bound by equivalent restrictions;
- combine Patron Data with other data to identify, profile or track Patrons outside the Venue's own customer relationship;
- use it for employment, credit, insurance, housing or other eligibility decisions;
- use it to harass, discriminate against or contact a Patron outside the Services, except as the Patron has separately agreed;
- try to re-identify de-identified or aggregated data; or
- access or attempt to access any Patron information that the Venue Platform does not expressly present to it.
- Compliance. The Venue must comply with all privacy and data protection laws that apply to Patron Data, including the California Consumer Privacy Act and other U.S. state privacy laws. It must give Patron Data at least the same level of privacy protection those laws require. The Venue must notify us promptly if it determines it can no longer meet these obligations. We may take reasonable steps to stop and remediate unauthorized use, including suspending access.
- Requests and deletion. The Venue must cooperate with us in responding to Patron privacy requests. It must delete Patron Data when we instruct it to (including when a Patron opts out or deletes their account), when its account ends, or when the data is no longer needed for the permitted purposes.
- Security. The Venue must protect Patron Data with reasonable security. It must notify us within 72 hours of discovering any unauthorized access to or disclosure of Patron Data in its possession.
- Availability. We may change, limit, aggregate or stop providing any Patron Data at any time. This includes changes made to honor Patron choices or comply with law.
11.5 Point-of-sale integrations
If the Venue connects Square or another point-of-sale system:
- it authorizes us to access the payments, orders, catalog and merchant data that the integration permits, and to use that data to provide the Services, including matching purchases to Patrons as described in the Privacy Policy;
- it represents that it has the right to share that data with us and has provided any notices to its customers required by law; and
- it remains bound by the point-of-sale provider's own terms. We are not responsible for that provider's services.
11.6 Venue indemnity and liability cap
The Venue will defend, indemnify and hold harmless the Chainlink Parties (defined in Section 16) from all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees) arising out of or related to:
- the Venue's premises, operations, staff and service of alcohol, including dram shop, over-service and age-verification claims;
- its content, promotions, rewards and bounties;
- its use of Patron Data;
- its violation of law or these Terms; and
- any dispute between the Venue and a Patron.
For Venues, the cap in Section 16 is the total fees the Venue paid us in the 12 months before the event giving rise to the claim.
12. Third-party services and app stores
The Services rely on and link to third-party services, including Google, Apple, Square, Branch and RevenueCat. Your use of them is governed by their terms and privacy policies, and we are not responsible for them.
App license. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your personal, non-commercial use.
Apple. If you downloaded the App from Apple's App Store, the following terms also apply:
- These Terms are between you and Chainlink only, not Apple.
- Apple has no obligation to provide maintenance or support for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the App's purchase price (if any). Apple has no other warranty obligation, to the maximum extent permitted by law.
- Apple is not responsible for addressing any claims relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, or consumer protection or privacy claims.
- Apple is not responsible for any claim that the App infringes a third party's intellectual property rights.
- You represent that you are not located in a U.S.-embargoed country and are not on any U.S. government list of prohibited or restricted parties.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
Google Play's terms apply to Apps downloaded from Google Play.
13. Our intellectual property
The Services and all related software, designs, text, graphics, logos and trademarks are owned by Chainlink or its licensors and protected by law. We reserve all rights not expressly granted in these Terms. You may not use our names, logos or trademarks without our prior written permission.
14. Suspension and termination
You may stop using the Services and delete your account at any time.
We may suspend, restrict or terminate your access to all or part of the Services, or remove your content, at any time and for any reason, with or without notice. Reasons include suspected violations of these Terms, risk to users or Venues, legal requirements, or discontinuation of the Services. If we terminate your account, you may not create another account without our permission.
Sections 4 through 6, 9 through 11 (as to obligations that by their nature survive), and 13 through 22 survive termination.
We may modify, suspend or discontinue any part of the Services at any time without liability to you.
15. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, ALL CONTENT, AND ALL VENUE, USER AND THIRD-PARTY INFORMATION ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. THIS INCLUDES ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, CHAINLINK DOES NOT WARRANT:
- THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS;
- THAT LOCATION, CHECK-IN, DWELL-TIME, DRINK, PURCHASE, POINTS, LEADERBOARD OR ANALYTICS DATA WILL BE ACCURATE OR COMPLETE;
- THE IDENTITY, AGE, BACKGROUND OR CONDUCT OF ANY USER OR VENUE; OR
- THAT ANY VENUE, EVENT, DEAL OR REWARD WILL BE AVAILABLE, SAFE, LAWFUL OR AS DESCRIBED.
CHAINLINK IS NOT RESPONSIBLE FOR THE CONDUCT, ONLINE OR OFFLINE, OF ANY USER OR VENUE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
16. Limitation of liability
"Chainlink Parties" means Leadman Properties & Services LLC and its affiliates, and each of their members, managers, officers, employees, contractors, agents, licensors, successors and assigns.
TO THE FULLEST EXTENT PERMITTED BY LAW:
(A) EXCLUDED DAMAGES. THE CHAINLINK PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY.
(B) CONDUCT OF OTHERS. THE CHAINLINK PARTIES WILL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING PERSONAL INJURY, DEATH, PROPERTY DAMAGE OR EMOTIONAL DISTRESS, ARISING FROM ANY OF THE FOLLOWING:
- THE CONSUMPTION OF ALCOHOL;
- ANY VENUE'S PREMISES, PRODUCTS, SERVICES OR CONDUCT;
- TRAVEL TO OR FROM ANY VENUE;
- YOUR INTERACTIONS OR MEETINGS WITH OTHER USERS; OR
- THE CONDUCT OR CONTENT OF ANY USER, VENUE OR OTHER THIRD PARTY.
(C) SECURITY AND ACCESS. THE CHAINLINK PARTIES WILL NOT BE LIABLE FOR ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR YOUR INFORMATION, OR FOR ANY INTERRUPTION OR UNAVAILABILITY OF THE SERVICES.
(D) CAP. THE CHAINLINK PARTIES' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).
THESE LIMITATIONS APPLY TO ANY THEORY OF LIABILITY, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND STATUTE. THEY APPLY EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND US.
NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, SUCH AS LIABILITY FOR FRAUD, OR FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT WHERE THE LAW DOES NOT PERMIT IT TO BE LIMITED. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW PERMITS.
17. Indemnification
To the fullest extent permitted by law, you will defend, indemnify and hold harmless the Chainlink Parties from and against all claims, losses, liabilities, damages, judgments, fines, costs and expenses (including reasonable attorneys' fees) arising out of or related to:
- your use of the Services;
- your User Content;
- your consumption of alcohol, conduct at any Venue, or interactions with other users;
- your violation of these Terms or of any law; and
- your violation of any third party's rights.
We may assume exclusive control of the defense of any matter subject to indemnification, at your expense, and you will cooperate with us.
18. No personal liability
The Services are provided solely by Leadman Properties & Services LLC. You agree that these Terms are a contract only with that company. To the fullest extent permitted by law, no member, manager, officer, employee, contractor or agent of Chainlink:
- is a party to these Terms;
- has any personal obligation or liability under them; or
- will be personally liable for any obligation, act or omission of Chainlink or for the Services.
You agree to bring any claim relating to the Services or these Terms only against Leadman Properties & Services LLC, and you waive any claim against those individuals in their personal capacities, to the extent permitted by law. The Chainlink Parties are intended third-party beneficiaries of Sections 15 through 19.
19. Dispute resolution and arbitration
19.1 Informal resolution first. Before starting an arbitration or court case, you and we each agree to try to resolve any dispute informally.
- The party raising the dispute must send a written notice to the other. Notices to us go to info@thechainlinkapp.com. Notices to you go to the email on your account.
- The notice must include the sender's name, contact information and account email, a description of the dispute, and the relief sought.
- If the dispute is not resolved within 60 days after the notice is received, either party may begin arbitration.
- Any deadline for filing a claim is tolled during this 60-day period.
19.2 Agreement to arbitrate. You and Chainlink agree that any dispute, claim or controversy arising out of or relating to these Terms, the Privacy Policy or the Services ("Dispute") will be resolved by binding individual arbitration, not in court. This includes Disputes about the scope, validity or enforceability of this agreement to arbitrate, and it applies whether the Dispute is based on contract, tort, statute or any other legal theory. The following are excepted:
- either party may bring an individual claim in small claims court if it qualifies and stays there; and
- either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property, or for unauthorized access to the Services.
The Federal Arbitration Act governs this Section.
19.3 Rules and procedure. The American Arbitration Association ("AAA") will administer the arbitration. It will use the AAA Consumer Arbitration Rules for Patrons and the AAA Commercial Arbitration Rules for Venues, as modified by this Section. One arbitrator will hear the case.
- Location. For Patrons, any hearing will take place in the county where you live or by video, unless the parties agree otherwise. For Venues, hearings will take place in Indiana.
- Fees. For Patrons, payment of filing and arbitrator fees is governed by the AAA rules. If you show that arbitration costs would be prohibitive compared to litigation, we will pay as much of them as the arbitrator finds necessary to prevent that.
- Remedies. The arbitrator may award the same individual relief a court could award, but only in favor of the individual party seeking relief and only to the extent needed to provide relief warranted by that party's individual claim.
- Judgment. Judgment on the award may be entered in any court with jurisdiction.
19.4 Class action and jury waiver. YOU AND CHAINLINK EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND CHAINLINK EACH WAIVE THE RIGHT TO A JURY TRIAL. The arbitrator may not consolidate claims of more than one person or preside over any class or representative proceeding.
If this class action waiver is found unenforceable as to any claim or request for relief, then that claim or request (and only that one) will be severed and heard in court after all arbitrable claims are resolved, and it will be stayed until then. The rest of this Section will remain in effect.
19.5 Mass arbitration. If 25 or more similar demands are filed against us by or with the help of the same or coordinated counsel or organization, the AAA's mass arbitration procedures and fee schedule will apply. The demands will be administered in batches of up to 25, one batch at a time, with one arbitrator per batch. All applicable statutes of limitation are tolled for demands that are waiting for their batch to be heard. A court may enforce this provision and may enjoin the filing or prosecution of demands that do not comply with it.
19.6 30-day right to opt out. You may opt out of this agreement to arbitrate. To do so, email info@thechainlinkapp.com with the subject "Arbitration Opt-Out" within 30 days after you first accept these Terms. The email must include your name and account email. Opting out does not affect any other part of these Terms.
19.7 Time limit for claims. To the fullest extent permitted by law, any claim must be filed within one year after it arises. Claims filed later are permanently barred.
19.8 Severability. If any part of this Section 19, other than Section 19.4, is found unenforceable, the rest remains in effect.
20. Governing law and venue
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 19. Some Disputes may proceed in court, either because they are excepted from arbitration or because arbitration does not apply. For those Disputes, you and we consent to the exclusive jurisdiction of the state and federal courts located in Indiana. This does not apply to small claims actions, which may be brought where you live.
21. General terms
- Entire agreement. These Terms, the Privacy Policy and any order form or supplemental terms we provide are the entire agreement between you and us about the Services.
- Assignment. We may assign these Terms, including in connection with a merger, acquisition or sale of assets. You may not assign them without our written consent.
- Severability and waiver. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest will remain in effect. Our failure to enforce a provision is not a waiver.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Relationship. No agency, partnership, joint venture, employment or fiduciary relationship is created by these Terms or by your use of the Services.
- Electronic communications. You consent to receive notices and agreements electronically, and you agree they satisfy any requirement that they be in writing.
- Export and sanctions. You may not use the Services in violation of U.S. export or sanctions laws.
- California users. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.
- Interpretation. "Including" means "including without limitation." Headings are for convenience only.
